Purpose

This Non-Disclosure Agreement protects confidential information shared by Ebí / Ebíbuy with business partners, vendors, marketers, contractors, consultants, agencies, collaborators, and other receiving parties.

Confidential Information

Confidential Information includes business plans, vendor lists, customer insights, platform ideas, game mechanics, advertising plans, marketing strategy, financial details, pricing, unreleased product concepts, technical information, documents, presentations, demonstrations, and any information Ebí identifies as private or confidential.

Confidential Information does not include information that is already public, independently developed without Ebí information, lawfully received from another source, or approved by Ebí in writing for public release.

Recipient Obligations

The receiving party agrees to keep Ebí Confidential Information private, use it only for the approved business purpose, protect it with reasonable care, and not share it with any person or company unless Ebí gives written permission.

Ownership

All Confidential Information remains the property of Ebí. Sharing information does not transfer ownership, license rights, or permission to copy, sell, reuse, or develop competing work based on Ebí confidential materials.

Return or Destruction

Upon request, the receiving party must return or securely destroy Ebí Confidential Information, including copies, notes, extracts, downloaded files, and working materials.

Term and Remedies

Confidentiality obligations continue for three years from disclosure, unless the information remains a trade secret or legally protected confidential information. Unauthorized disclosure may cause serious harm to Ebí, and Ebí may seek available legal remedies.
